Betr Entertainment recently announced that it has raised its holding in PointsBet to 27.72%, enhancing its ability to influence shareholder votes and potentially block decisions that might not align with shareholder interests. This development followed an off-market acquisition bid for all ordinary shares in PointsBet, which concluded on 25 September. The acquisition resulted in Betr securing an additional 30,341,074 shares.
Betr’s strategic maneuver was aimed at a full takeover or achieving a majority holding, competing fiercely against MIXI Australia for control. MIXI emerged ahead by securing 66.43% ownership through its own offer, placing it in a leading position. However, the substantial shareholding by Betr ensures that MIXI remains accountable to the other shareholders regarding its business strategies.
Previously, Betr held a 19.9% interest in PointsBet. The recent increase to over a quarter of the shares grants Betr significant influence in shareholder decisions. The company stated that this strategic stake size would be enough to prevent actions that may not favor shareholder interests and promote constructive dialogue with MIXI and the PointsBet board for value creation.
MIXI’s acquisition journey was marked by Betr’s competitive bid, which, in theory, presented a higher valuation than MIXI’s successful proposal. Betr’s all-share offer was valued at $1.40 per share, which nonetheless failed to convince PointsBet, now predominantly under MIXI’s ownership.
As a result of the share exchange arrangement, where Betr shares were offered at a ratio of 4.375 per PointsBet share, approximately 133 million new Betr shares will be issued to accepting PointsBet shareholders.
Throughout this competitive process, PointsBet consistently supported MIXI, with its board repeatedly rejecting Betr’s proposals while encouraging shareholders to support MIXI’s offers. Betr’s determined stance, however, compelled MIXI to enhance its offer multiple times.
Initially, in February, PointsBet’s board agreed to MIXI’s proposal, which involved a payment of $1.06 in cash per share for full ownership. The final offer in August increased the valuation to $1.25 per share in cash. MIXI even indicated a willingness to pay $1.30 per share if it attained over 90% of the total shares. Betr’s firm opposition, nonetheless, held the share price at $1.25 by refusing to endorse MIXI’s proposal.
While Betr’s opposition effectively decreased the takeover expense for MIXI, it also sets the stage for potential obstacles in passing future proposals that Betr might oppose. This ongoing tension suggests a complex dynamic at play, where despite having secured the larger share, MIXI’s strategic decisions will still need to navigate Betr’s significant influence.
The situation highlights the intricate balance of power in corporate acquisitions and the impact of strategic shareholdings on decision-making processes. As the industry watches closely, the unfolding developments may influence future merger and acquisition strategies within the gaming sector.
On the other hand, MIXI’s supporters argue that their control will streamline decision-making, potentially leading to faster implementation of strategic initiatives that could drive growth. The company’s comprehensive control over PointsBet aims to harness synergies and enhance operational efficiencies, thus benefiting all shareholders in the long run.
Nonetheless, Betr’s ability to block unfavorable decisions serves as a check, ensuring that shareholder interests remain safeguarded, thereby contributing to a more balanced governance structure. This duel of influence between the two stakeholders introduces a level of uncertainty but also potential opportunities for innovation and adaptation in the evolving igaming landscape.
As this corporate saga unfolds, analysts and industry experts will likely keep a close eye on how MIXI and Betr navigate their respective roles within PointsBet. The outcome of this power struggle may set precedents for future transactions within the sector, particularly in how minority stakes can wield significant influence over business operations and strategic directions.
