Fertitta Executives Licensed in Nevada Amid Uncertain Caesars Deal Progress

The Nevada Gaming Commission granted licenses to Richard Liem and Steven Scheinthal, executives from Fertitta Entertainment, on Thursday. This move is part of Fertitta’s strategy to advance its $17.6 billion acquisition of Caesars Entertainment, aiming to take the company private. The approval comes amid a lack of clear details regarding the future steps for the deal. Liem serves as Fertitta’s Chief Financial Officer, and Scheinthal is the General Counsel. Both have been licensed in Nevada multiple times since Fertitta’s acquisition of Golden Nugget Casinos in 2005. Despite the significance of the Caesars transaction, neither company has issued detailed public statements, and the recent expiration of a go-shop period on July 11 has left questions open about competing bids, including interest from investor Carl Icahn.

The acquisition’s completion hinges on passing an antitrust review, which poses a significant regulatory challenge. With both Caesars and Fertitta’s Golden Nugget operating in six overlapping U.S. markets, including Nevada, concerns about competition are paramount. Previously, Caesars’ acquisition by Eldorado Resorts in 2020 required asset divestitures to gain approval. The Nevada Gaming Control Board has indicated it will follow federal rulings before making state-level decisions, indicating a cautious approach. Currently, the Federal Trade Commission is reviewing the transaction under the Hart-Scott-Rodino Antitrust Improvements Act, with Liem acknowledging the unpredictable timeline of such cases.

Another layer of complexity is added by Tilman Fertitta’s role as the U.S. Ambassador to Italy and San Marino, which has necessitated his withdrawal from direct involvement in his business operations due to ethical requirements. However, Fertitta still offers strategic direction. This situation prompted questions about his potential influence on the deal, but these were not pursued in depth by the commission. Scheinthal highlighted ongoing union negotiations as a key aspect of the executives’ focus in Las Vegas, noting Fertitta’s positive relationship with the Culinary Union.

Regarding the integration of Caesars and Golden Nugget operations, the preferred strategy is to absorb Golden Nugget’s assets into the larger Caesars framework. This approach aligns with employee benefits and compliance considerations, particularly concerning anti-money laundering (AML) measures. Caesars has faced scrutiny in the past, notably receiving a $7.8 million AML fine for not verifying the source of funds for a known illegal bookmaker. Scheinthal expressed confidence in Caesars’ current compliance efforts and noted that Golden Nugget has avoided similar issues due to its operational scale.

Scheinthal also addressed broader industry topics, such as the impact of prediction markets on gaming operators. Both Caesars and Golden Nugget, with their involvement in land-based and online gaming, are affected by these markets. Scheinthal predicted that the issue would likely reach the Supreme Court, where he speculated that states’ rights could prevail. In addition, the prospect of gaming expansion in Texas, where Fertitta is headquartered, was considered unlikely due to the current political climate, despite ongoing lobbying efforts by major players like Las Vegas Sands.

Looking ahead, the next steps for the Fertitta-Caesars deal involve navigating the complex regulatory landscape, including antitrust approvals and shareholder consent. The timeline remains uncertain, with various factors influencing the potential outcome and impact on the broader gaming industry. The focus will be on monitoring federal and state regulatory developments and any strategic adjustments by the involved parties.
