MIXI Achieves Majority Control of PointsBet in Strategic Acquisition

MIXI Australia has secured a decisive majority stake in PointsBet, marking a significant milestone in its acquisition strategy. On the evening of 5 September, MIXI announced that it had acquired a 51.59% stake in PointsBet, transforming the operator into a controlled subsidiary of MIXI.

This development effectively ends Betr Entertainment’s aspirations to take over PointsBet. Betr, which had been actively pursuing its own acquisition, now faces the reality of being unable to secure a majority interest. The acquisition saga, which has been unfolding since February, appears to be nearing its conclusion.

MIXI’s offer to acquire PointsBet remains open to shareholders until 12 September. Shareholders who accept the offer by this deadline will be remunerated according to the terms outlined in the proposal.

In a letter addressed to shareholders, MIXI explicitly referred to Betr’s intentions, dismissing any possibility of collaboration. MIXI stated that despite Betr’s belief in potential synergies, there was no intention to engage in any joint efforts with Betr.

Throughout the acquisition process, the PointsBet board has consistently supported MIXI, even as Betr sought to enhance its offer’s value and propose synergies. The board’s backing has been unwavering, signaling a clear preference for MIXI’s approach.

In August, PointsBet once again recommended that shareholders support MIXI’s latest bid, which offered $1.25 in cash per share. This offer could increase to $1.30 per share if MIXI managed to acquire over 90% of the total shares. However, this higher price appears unlikely, given that Betr continues to hold a 19.9% stake and has rejected MIXI’s latest offer.

Throughout the year, Betr has made multiple proposals, each more lucrative than the last. Its most recent all-share offer valued PointsBet at $1.40 per share. Nevertheless, PointsBet has stood by MIXI’s proposal, urging shareholders on 22 August to reject Betr’s bid in favor of MIXI’s offer.

Matthew Tripp, Betr’s Executive Chairman, has remained optimistic about his company’s position. During Betr’s FY25 earnings call on 28 August, he described Betr’s proposal as “superior” in terms of value, indicating confidence in their strategic plan.

As of now, Betr has not issued a statement following the news of MIXI surpassing the 50% ownership threshold. This development leaves Betr in a challenging position, having invested considerable resources in a pursuit that seems increasingly unattainable.
